General Terms and Conditions of Sale (GTC)
1. Scope of application
These General Terms and Conditions (GTC) apply to all deliveries and services provided by Silitech AG. Deviating or supplementary terms of the customer shall only become part of the contract if expressly accepted in writing by Silitech AG.
2. Conclusion of contract
A contract is formed either through written confirmation of the order by Silitech AG or by delivery of the goods. Offers by Silitech AG are non-binding and subject to change.
3. Prices and terms of payment
All prices are quoted in Swiss Francs (CHF) excluding VAT, shipping and packaging costs. Unless otherwise agreed, payment is due within 30 days of the invoice date without deductions. In case of late payment, default interest of 5% per annum will be charged. Silitech AG reserves the right to demand advance payment at its own discretion.
4. Delivery and transfer of risk
Delivery is ex-warehouse at the customer’s expense and risk. Risk is transferred to the customer once the goods are handed over to the carrier. Delivery times are non-binding. Partial deliveries are permitted unless expressly rejected by the customer.
5. Retention of title
Goods remain the property of Silitech AG until full payment of all claims arising from the business relationship. The customer is obliged to handle the goods with care and inform third parties about the retention of title.
6. Warranty and complaints
The customer must inspect the goods immediately upon receipt and report any defects in writing within 7 days. Hidden defects must also be reported in writing within 7 days of discovery. In the event of justified complaints, Silitech AG may choose to repair or replace the goods. Further claims, especially for damages, are excluded unless caused by intent or gross negligence.
7. Liability
Silitech AG is only liable for damages caused intentionally or by gross negligence. Liability for indirect or consequential damages or loss of profits is excluded. Liability for slight negligence is excluded to the extent permitted by law.
8. Returns
Returns are only possible with the prior written consent of Silitech AG. Goods must be returned undamaged, unused, and in their original packaging. Return costs are borne by the customer unless the return is due to a defect attributable to Silitech AG.
9. Data protection
Silitech AG collects, stores, and processes the customer’s personal data solely for the purpose of conducting business. All personal data is treated confidentially and not disclosed to third parties, unless required for contractual performance.
10. Force majeure
In the event of force majeure preventing Silitech AG from fulfilling its contractual obligations, the company is entitled to postpone deliveries for the duration of the impediment or to withdraw from the contract. Force majeure includes all events beyond Silitech AG's control that make delivery obligations impossible or significantly more difficult.
11. Jurisdiction and applicable law
Place of performance and exclusive place of jurisdiction for all disputes arising from or in connection with this contract is the registered office of Silitech AG in Gümligen, Switzerland. Swiss law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
12. Severability clause
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. Invalid provisions shall be replaced with ones that come as close as possible to the intended economic purpose.
